These terms govern your organisation's subscription to Rewind. "We" means NUBLOCK GROUP PTY LTD (ABN 55 696 503 661, ACN 696 503 661) of Level 10, 50 Queen St, Melbourne VIC 3000. Rewind is a product of NUBLOCK GROUP PTY LTD (ABN 55 696 503 661). "You" means the organisation that signs up, and "users" are the people you let use Rewind. By starting a trial, subscribing or using Rewind, you accept these terms on behalf of your organisation and confirm you are authorised to do so. Rewind is a business service; it is not offered to consumers.
1. The service
Rewind is a hosted contact-centre, call-recording and reporting service for Microsoft Teams. Features are described on rewindcx.au and in the documentation. Some features are labelled as previews or simulated (for example the AI receptionist); they are provided as-is and may change. We may improve or change the service; we will not materially reduce the core features of a paid plan during a paid term without notice.
2. What you need
- A Microsoft 365 tenant with the Microsoft Teams Phone licensing, phone numbers and calling arrangements (Calling Plans, Operator Connect or Direct Routing) your use needs. Microsoft licences and calling charges are between you and Microsoft or your carrier.
- An administrator who can grant Rewind's consent in Microsoft Entra and run the Teams setup steps.
3. Trial, plans and fees
- A new organisation gets a 7-day free trial. At the end of the trial you need a paid plan to keep using Rewind.
- Fees are as shown on the pricing page or in your order, charged per billable user per month plus any usage beyond your plan's included minutes. A billable user is a person with a Rewind seat linked to their Microsoft Teams account.
- Fees are in Australian dollars and exclude GST unless stated. Invoices are due within 14 days. If you buy through the Microsoft commercial marketplace, Microsoft's billing terms apply to payment.
- When a trial ends without a paid plan, configuration changes are restricted until one is in place; calls keep flowing. If a paid invoice is overdue we may, after notice, suspend the service; calls already in progress are not cut off by a suspension.
- We may change fees with 30 days' notice, effective from your next billing period.
4. Your responsibilities
- Recording and monitoring law. You are responsible for complying with the laws that apply to recording, monitoring and transcribing calls and chats in every place your callers and staff are, including telling callers and getting consent where required. Rewind provides tools such as a consent announcement, pause and stop controls and retention settings; you choose how to use them.
- Your users. You decide who gets access and which roles they hold, and you are responsible for their use of Rewind. Keep sign-in credentials secure and tell us promptly about any unauthorised use.
- Acceptable use. Do not use Rewind for unlawful purposes, unsolicited marketing calls that breach the Do Not Call Register Act 2006 or the Spam Act 2003, harassment, or to interfere with the service or other customers. Emergency calls must be made from Microsoft Teams or another phone, not through Rewind's outbound dialler.
5. Your data
- You own the data you and your callers put into Rewind ("customer data"): call records, recordings, transcripts, chats and configuration.
- We process customer data only to provide, secure and support the service, and as our privacy policy describes. We store it in Australia and use the sub-processors listed on our sub-processors page; we will update that page before adding a new one.
- We do not use customer data to train AI models or for advertising.
- You can export your configuration at any time, and download recordings while your subscription is active. When the subscription ends, we delete customer data through our offboarding process within 30 days, except where the law requires us to keep it. Export what you need before then.
6. Confidentiality and security
Each party keeps the other's confidential information confidential and uses it only for this agreement. We maintain reasonable technical and organisational security measures for the service, described in the privacy policy, and will notify you without undue delay of a security incident affecting your customer data.
7. Availability and support
We aim to keep Rewind available at all times but do not promise uninterrupted service unless a service level is agreed in writing. Rewind depends on Microsoft Teams, Azure and your carrier; outages of those services are outside our control. Support is by email at hello@rewindcx.au during Australian business hours. Planned maintenance is scheduled to minimise disruption to calls.
8. Intellectual property
We own Rewind and everything we provide with it, other than customer data. We grant you a non-exclusive, non-transferable right for your users to use Rewind for your internal business during your subscription. Feedback you give us may be used without obligation to you.
9. Term and termination
- A subscription runs month to month unless your order says otherwise, and renews until cancelled. You can cancel at any time from the billing page or by email; cancellation takes effect at the end of the current billing period.
- Either party may end the agreement on written notice if the other materially breaches it and does not fix the breach within 30 days, or becomes insolvent.
- We may suspend access immediately if needed to protect the service, other customers or the law, and will tell you why.
10. Warranties and the Australian Consumer Law
Nothing in these terms excludes rights you have under the Australian Consumer Law that cannot be excluded. Apart from those, the service is provided as described and we give no other warranties. Where the law allows, our liability for a failure to comply with a consumer guarantee is limited to supplying the service again or paying for it to be supplied again.
11. Liability
- Neither party is liable for indirect or consequential loss, or loss of profit, revenue or data, except to the extent caused by its breach of confidentiality or its wilful misconduct.
- Each party's total liability under this agreement in any 12 months is limited to the fees you paid in the 12 months before the claim arose.
- These limits do not apply to your obligation to pay fees, to either party's liability for fraud, or to your responsibility for recording law in section 4.
12. Indemnity
You indemnify us against third-party claims arising from your breach of recording, monitoring or marketing laws, or from customer data you had no right to provide. We indemnify you against third-party claims that Rewind, used as permitted, infringes their Australian intellectual property rights.
13. General
- We may update these terms; we will give administrators 30 days' notice of material changes, and continued use after that means acceptance.
- Neither party may assign this agreement without the other's consent, except to a successor of its business.
- These terms, your order and the privacy policy are the whole agreement. If any part is unenforceable, the rest continues.
- The laws of Victoria, Australia govern these terms, and its courts have non-exclusive jurisdiction.
- Notices go to hello@rewindcx.au for us and to your administrator's email for you.
